- NDA
- Signed before any scoping detail is exchanged. Your client names and commercial terms stay yours.
- Non-circumvention
- A written commitment never to approach, solicit or accept work from your client. Signed up front.
- IP assignment
- Code, IP and deployment configuration transfer to your agency or your client on payment.
- Milestone payments
- Each milestone scoped and priced before it starts, invoiced on delivery. Never a full project of exposure.
- Your repository, day one
- Work is pushed continuously to a repo you control. You always hold current, working code.
- No lock-in
- End the engagement at the close of any milestone. No notice penalty, no retainer commitment.
How it actually runs
Three steps, no surprises.
NDA and non-circumvention are signed before any scoping detail is exchanged. Nothing about your client or your commercial terms leaves that conversation.
Work is scoped into milestones, each priced before it starts and invoiced on delivery. The first milestone of a new engagement is risk-free: if it is not right, you do not pay for it, and you keep the code regardless.
Code and IP transfer to your agency or your client on payment, exactly as your engagement agreement specifies. There is no separate negotiation for that later.
